Abstract:
مهمترین هدف از صدور سند تجاری به مفهوم خاص اعم از برات، سفته و چک استفاده از آن اسناد به عنوان جایگزین پول می‌باشد. این اسناد تابع مقررات ویژه‌ای می‌باشند و از اوصاف خاصی برخوردارند که آنها را از سایر اسناد متمایز می‌نماید و سبب ایفای بهتر نقش سند تجاری به جای وجه نقد می‌گردد. مسئولین پرداخت وجه سند، مانند صادر کننده، ظهرنویس، ضامن و محال علیه ممکن است با دارنده سند تجاری راجع به قلمرو وظایف و تکالیف دارنده و یا حقوق مندرج در سند بموجب اصل حاکمیت اراده، در قالب شروط به توافقاتی دست یابند. نتیجه این توافق می‌تواند تغییر در هر یک از آن تکالیف یا وظایف باشد. آیا کلیه توافقات در این زمینه معتبر و لازم الاجراء تلقی می‌گردد؟در این مقاله با نگاه به مقررات یکنواخت کنوانسیون ژنو، راجع به برات و سفته 1930، و چک 1931 و برخی از نظامهای حقوقی دیگر به وضعیت و قلمرو اثر این توافقات خصوصی در اسناد تجاری و اعتبار یا عدم اعتبار آن در حقوق ایران خواهیم پرداخت.
