Today, a large proportion of organization’s assets are intangible. Managers and accountants have problems in determining the value of assets in companies that barely existed in the past. Most of the existing methodologies for the measurement and pricing of intangible property and intellectual capital came from the research in the areas of economic, management, accounting, engineering, etc. The result of this process assess to some frameworks and measurement models for the development the ability of the economy and evaluation of Intellectual Property can be used. In other words, intellectual property rights as one of the fundamental problems of modern economic systems and essential tool for economic development and the most valuable asset in commercial transactions and trade considered. This study aimed to investigate the laws governing intellectual property and contracts related to the pricing of technology and the commercialization of it is done. At the first of paper related definitions of assets and intellectual property, objectives and the need to sell or transfer technical knowledge in research institutes and also the reasons of determining the value of technology have been stated then the questions before choosing a technology transfer contract for greater recognition of the status should be answered. After that variety of technology transfer contract s have been investigated and legal definitions of technology transfer contract s and of most commonly used features and differences have been investigated then scientific methods, both qualitative and quantitative of the contract price has been considered.
